We are seeking a motivated Corporate Associate Attorney to join our growing team in our Pittsburgh, PA office. Key Responsibilities:
- Provide clients counsel and guidance on corporate matters including corporate structuring, governance, and compliance
- Draft and review legal contracts, agreements, and securities filings
- Advise clients on securities offerings, venture capital, and private equity transactions
- Negotiate and draft commercial contracts
- Assist with mergers and acquisitions
- Stay updated on relevant laws and regulations, and ensure compliance with all applicable laws and regulations
- Collaborate with cross-functional teams to support business objectives and manage legal risks
Qualifications:
- Juris Doctor (J.D.)
- Admitted to practice in PA
- 3+ years of experience in corporate law- preferably at a law firm
- Strong knowledge of corporate governance, securities offerings, venture capital, private equity transactions, commercial lending, and commercial contracts
- Developed legal writing and research skills
- Experience with deal and tax structuring is a big plus!
